Alan J. Prince

Alan Prince

is the Managing Partner of King & Spalding's Atlanta office and a member of the firm's Corporate Practice Group.

Mr. Prince has substantial experience in a broad range of corporate finance transactions and securities matters. He has represented both issuers and underwriters in connection with initial and secondary public offerings, "shelf" offerings, Rule 144A offerings and other private placement transactions. In particular, Mr. Prince has extensive experience in public offerings of equity securities, including initial public offerings. He has advised on over 75 offerings, including 15 IPOs, in which the issuers raised an aggregate of over $7.0 billion.

Mr. Prince also has significant experience in advising public companies on SEC reporting and disclosure matters, corporate governance issues and other corporate/securities matters. In particular, Mr. Prince has extensive experience in crisis situations, including restatements. He serves as a counselor to public company Boards of Directors in connection with corporate, governance and SEC matters. Finally, Mr. Prince has significant experience in public and private merger and acquisition transactions, including mergers, tender offers, and stock and asset transactions.

Mr. Prince has been recognized by The Best Lawyers in America, which is based on a survey of 15,000 leading U.S. attorneys, and Chambers USA as a leading corporate lawyer.

Mr. Prince graduated, cum laude, from Wake Forest University in 1986 and received his J.D., cum laude, from the University of Georgia in 1989. He served as Managing Editor of the Georgia Law Review.
