Alex Badillo's corporate law practice includes mergers and acquisitions, joint ventures, securities offerings, securities compliance, venture capital transactions, and corporate governance. In the area of mergers and acquisitions, he has represented buyers and sellers in asset purchase, stock purchase, and merger transactions. He has represented privately held companies and publicly traded companies in corporate governance matters and general corporate matters. Alex also has advised clients on federal and state securities law compliance and disclosure issues, private placements, preparation of private placement memoranda, registration statements, and annual, periodic, and other securities compliance reports. He has counseled on issues affecting business growth for developing companies, including capital formation, stockholder agreements, licensing agreements, and employment agreements.
Alex is listed in Who's Who in American Law, Who's Who in America, and Who's Who in the World. He has coauthored various articles including: "M&A Prophecy: One Year Later," The Journal of Corporate Accounting & Finance, Volume 22, Number 2, January/February 2011; "Is the M&A Market Back?" The Journal of Corporate Accounting & Finance, Volume 21, Number 2, January/February 2010; and "Marriage Rehearsal: How to Prepare for the Deal," The Journal of Corporate Accounting & Finance, Volume 18, Number 2, January/February 2007. Alex is a co-professor of the Lex Mercator and Georgetown University Law Center online courses on mergers and acquisitions and legal and strategic due diligence.
