Anthony J. Marsico

Anthony J. Marsico has wide-ranging experience representing public and private corporations and constituent groups in a wide variety of public and private mergers and acquisitions and corporate finance transactions.

Mr. Marsico's M&A experience includes representing domestic and international corporations, controlling stockholders, private equity investors and sponsors, management buyout groups, hedge funds, financial advisors and investment banking firms in strategic and financial mergers and acquisitions, business combinations and corporate control contests. He also advises on cash and stock-for-stock mergers, tender offers, management buyouts, election contests and proxy proposals, going-private transactions, asset purchases and divestitures, cross-border tender offers, corporate recapitalizations, takeover defense and fairness opinion and financial advisory engagements.

Mr. Marsico's corporate finance experience includes representation of public and private domestic corporations, foreign private issuers, financial institutions, broker-dealers, hedge funds and private investment firms. He has advised on initial and follow-on public offerings and other registered and private offerings of equity and debt securities, including registered direct offerings, "at-the-market" offerings, public and private "equity line" transactions, "PIPEs", debt-for-equity exchanges, and Rule 144A, Regulation S and other cross-border securities offerings. He has also represented foreign governmental entities in connection with "sovereign debt" offerings. Mr. Marsico has worked closely with leading private investment firms to structure and develop a variety of innovative structured equity and debt financing products and with broker-dealers to create equity distribution products. Mr. Marsico also regularly advises clients on Sarbanes-Oxley Act compliance, U.S. federal securities law reporting, disclosure requirements and other general corporate matters.
