Asi Kirmayer

ASI KIRMAYER practices in all areas of corporate law with an emphasis on mergers and acquisitions, private equity and securities.

He has represented emerging companies, large multinational corporations and partnerships, hedge funds, private equity funds and other wealth managers in domestic and international purchases and sales of public and private companies. His experience includes acquisitions and divestitures of broker-dealers, insurance companies, financial advisors, energy producers, technology companies and professional services firms. He has also represented issuers, investors and underwriters in registered and exempt equity and debt offerings, as well as financial and strategic investors in complex joint venture and co-investment transactions.

Mr. Kirmayer’s representations include:

Representing GIC Pte Ltd in connection with the $752 million acquisition of iParadigms;
Representing Wanxiang Group in connection with its $149 million acquisition of the assets of Fisker Automotive Holdings Inc.;
Representing GIC Pte Ltd in connection with the $6.9 billion acquisition of BMC Software Inc.;
Representing Wanxiang Group in connection with its initial investment in A123 Systems and its subsequent $249 million acquisition of A123 Systems;
Representing Avaya Inc. in connection with its $225 million acquisition of Radvision Ltd.;
Representing Peak 6 Investments, L.P. in its acquisition of the securities clearing business of Penson Worldwide Inc. and the formation of Apex Clearing Corporation;
Representing one of the largest sovereign wealth funds in multiple equity investments in the U.S. and Latin America;
Representing a big four accounting firm in multiple acquisitions;
Representing Guggenheim Partners, LLC in its acquisition of Security Benefit Corporation;
Representing SMART Technologies Inc. in its initial public offering;
Representing BNP Paribas in its acquisition of the prime brokerage business of Bank of America;
Representing AIG Highstar in connection with its sale of a 50% interest in Intergen N.V. to GMR Infrastructure Limited;
Representing Turner Renewable Energy LLC in its sale to First Solar, Inc.;
Representing Broadpoint Securities Group Inc. in its acquisition of Gleacher Partners Inc.;
Representing NRDC Equity Partners in its acquisition of Fortunoff; and
Representing Magna International Inc. in its issuer tender offer for its Class A Subordinate Voting Shares.

Mr. Kirmayer has been a speaker at several continuing legal education courses sponsored by the Securities Regulation Committee of the Business Law Section of the New York State Bar Association and regularly participates in efforts of the committee to comment on new proposed SEC rules and regulations.

Mr. Kirmayer received his LL.B. from the Faculty of Law at the University of Toronto in 1998 and his B.Sc. (First Class Honours) in Computer Science from the University of Calgary in 1995.
