Bonnie A. Barsamian

Bonnie A. Barsamian is a seasoned legal and business advisor with more than 25 years of experience advising public and private companies, investment banks, financial sponsors, executive leadership and boards of directors in complex securities/capital markets, mergers and acquisitions and other corporate transactional, advisory and regulatory matters.

Bonnie represents issuers, underwriters and financial sponsors in the full range of public and private securities offerings and other corporate finance transactions, including IPOs, secondary offerings, rights offerings, convertible, high yield and other debt offerings, and other corporate finance transactions. She also advises companies and financial advisors in public and private acquisition/divestiture, recapitalization and change-of-control transactions.

A veteran advisor on federal securities laws, Bonnie also counsels clients on SEC filings, best practices and compliance issues. In addition she advises public companies and their boards of directors and board committees on routine and extraordinary corporate governance matters, including fiduciary duties, internal investigations, risk oversight, leadership, disclosure and other matters. Bonnie has extensive experience handling matters across a broad range of sectors, including financial services and institutions, specialty finance, REITs, media and entertainment and industrial/consumer products.

Her leadership and consensus-building experience includes establishing and leading a successful global securities practice group at a leading law firm, chairing firm committees, leading and managing deal teams across geographies, and serving on nonprofit boards of directors.

In June 2016, Bonnie was nominated by President Obama to serve on the Board of the Securities Investor Protection Corporation (SIPC), and her nomination is subject to confirmation by the U.S. Senate.
