Byron W. Dailey

Byron Dailey is a corporate, securities and M&A attorney with 15 years of exceptionally broad experience managing domestic and international business transactions. Byron focuses his practice on mergers and acquisitions, investment fund formation, securities regulation, financing transactions, global organization and expansion, startups, emerging companies, nonprofits and social impact companies. He has advised clients on a wide variety of international transactions involving dozens of countries on six continents and is skilled at navigating business, legal and cultural issues in all regions of the world. Byron is well known for delivering responsive advice that equips his clients to make practical and productive business decisions and providing solutions to minimize risk while achieving their economic and strategic goals.

Mergers & Acquisitions: Byron represents private and public buyers, sellers and targets, as well as investors, private equity firms, financial advisors, hostile and friendly parties, boards and special committees in structuring and negotiating large and small M&A transactions. Byron can provide experienced counsel on advance preparation for prospective targets; stock and asset purchases/sales, and mergers; auctions (sell-side and bidders); private equity transactions; spin-offs; corporate governance and general corporate counseling; tender offers; leveraged buyouts; proxy contests; going-private transactions; and joint ventures, strategic alliances and strategic investments. He has managed many complex, multinational transactions for U.S. and foreign buyers and targets. Byron has handled multibillion-dollar acquisitions, as well as many sales of smaller closely-held businesses.

Fund Formation: Byron leads Lane Powell’s Private Investment Funds Practice, which is one of the most experienced and sophisticated practices of its kind in the region. Byron represent funds, sponsors, investors, corporate parties and portfolio companies with respect to venture capital funds, corporate venture capital operations, private equity funds, hedge funds, accelerators, incubators and related structures. He advises funds, fund sponsors, managers and general partners in structuring, fundraising, governance, operation and economic arrangements, as well as setting up operational arms or affiliates such as accelerators or incubators. Byron advises investors in evaluating opportunities and negotiating and structuring fund terms, side letters and co-investments, as well as structuring their investments to maximize tax efficiency. He has extensive experience in structuring and implementing a wide variety of corporate venture capital operations, whether internal, external or involving multiple third parties, and whether designed to achieve strategic or economic goals. Byron has participated centrally in the creation of a substantial number of creative, novel and innovative fund or fund-related projects and transactions for corporate participants. He advises funds in evaluation, negotiation and consummation of their own investments. Byron is deeply experienced in international transactions in all regions of the world, including investment funds with overseas operations, offshore or overseas investors, offshore or overseas investments, and multinational structures.

Securities: Byron has represented clients in IPOs, other public/registered securities offerings, private/exempt financings and SEC reporting compliance. He has advised many Canadian and other non-U.S. issuers on compliance with U.S. securities regulations and exemptions in their efforts to raise capital in the U.S. Byron has given presentations to scores of Canadian lawyers, other professional advisers and companies on compliance with regard to U.S. securities regulations.

Startups & Emerging Companies: Byron has an active practice advising startups and emerging growth companies on matters from initial structuring and organization to capital raising, employment, IP, other ongoing operational legal matters and planning and execution of exits. His experience advising startups includes tech, life sciences, food & beverage and services companies, among others. Byron has advised many non-U.S. startup and emerging growth companies in their expansion into the U.S.

Nonprofits and Social Impact Companies: Byron regularly advises domestic and foreign nonprofit organizations and social impact companies with domestic and international operations on structure, governance, tax-exemption, compliance and transactions.

Byron practiced for several years in the New York City office of Skadden, Arps, Slate, Meagher & Flom and was a partner in DLA Piper’s Seattle office before joining Lane Powell. Byron has been named for the past several years as a “Washington Super Lawyer” by Super Lawyers® magazine for his M&A practice.
