Carla A R Hine

Carla A. R. Hine is a partner in the law firm of McDermott Will & Emery LLP and is based in the Firm’s Washington, D.C., office. She focuses her practice on antitrust and consumer protection regulatory matters.

In her antitrust practice, Carla has significant experience counseling clients on matters relating to mergers and acquisitions, collaborations, and compliance with the Hart-Scott-Rodino (HSR) Act and international merger notification regimes. She defends mergers and acquisitions before the U.S. antitrust agencies and international competition authorities, and has experience with administrative, so-called Part III litigation before the Federal Trade Commission (FTC). Her antitrust practice includes counseling, government investigations, and antitrust litigation.

Carla regularly provides antitrust counseling on transactions – from helping clients identify transaction partners, trying to avoid potential government inquiry, advising on permissible pre-closing activities, defending transactions before the FTC or Department of Justice (DOJ), and responding to Second Requests and Civil Investigative Demands. Carla has also assisted third parties in addressing the concerns a transaction may pose for their business. Carla has particular experience with the requirements of the HSR Act; she counsels clients on their obligations under the Act, and has prepared or managed the preparation of hundreds of HSR filings. She also manages multi-jurisdictional merger filings.

Carla also counsels on a broad range of antitrust issues including: information exchanges; collaborations between competitors; participation in trade associations; distribution practices (e.g., pricing restraints and price discrimination); and restrictions on interlocking directorates.

Carla has experience in a variety of industries, including: consumer products (e.g., candy, pet food, sporting goods, alcoholic beverages); hospitals; pharmaceuticals; construction materials; defense; energy commodities; gasoline, oil, and related exploration products and services; metal products (e.g., aluminum and steel); and sports teams (e.g., NHL, MLB, and NBA) among others.

In her consumer protection practice, Carla advises companies on federal consumer protection laws and regulations, including data privacy and information security laws, advertising regulations, and financial practices.

Carla has been recommended by Legal 500 as an antitrust attorney that “does an excellent job.” Carla has been selected for inclusion in the Washington, D.C. Super Lawyers–Rising Stars Edition 2013 and 2014. Carla is a Fellow of the American Bar Foundation, and is actively involved in the American Bar Association’s Section of Antitrust Law, and serves as the Vice Chair to the Trade, Sports, and Professional Associations Committee. She frequently writes and speaks on antitrust and privacy issues, and has contributed to updates to the most recent edition of the ABA’s Antitrust Law Developments treatise and Consumer Protection Law Developments treatise, and is a contributing author to the ABA’s Best Practices in the Acquisition of a Government Contractor.

Prior to joining the Firm, Carla worked as a research analyst in the economics arena, where she prepared research and analysis for antitrust litigation and counseling matters, frequently involving Fortune 500 companies.

While in law school, Carla interned with the Department of Justice, Antitrust Division, and also served as a legal intern to the Honorable Steven D. Pepe of the U.S. District Court for the Eastern District of Michigan. Carla served as editor for the 2003 National Symposium Editorial Board of the Harvard Journal of Law and Public Policy. Also, she received Honorable Mention in an annual intellectual property writing competition.

Carla is admitted to practice in the District of Columbia and Illinois.
