Charles A. Schwab

Charles A. Schwab is Special Counsel in the Technology Transactions practice group and a member of Cooley's Business department. He joined the Firm in 1998 and, after six years in the Palo Alto office, is now resident in the Colorado office.

Mr. Schwab's practice focuses on technology and intellectual property related transactions, including software licensing, distribution arrangements, product development, technology transfer agreements, electronic commerce, outsourcing, and strategic relationships.

Mr. Schwab represents clients ranging from start-ups to large public companies in the renewable energy (water purification, solar, wind, power conversion, smart energy meters), wireless communications, semiconductor, Internet, banking, software, services, and hardware industries. He regularly counsels clients on structuring and negotiating deals involving business process and information technology outsourcing, Software as a Service, clean technology, OEM, VAR and other distribution arrangements, development and exploitation of intellectual property assets, and other technology related matters.

He has extensive experience in privacy and internet law counseling, covering a variety of issues posed by electronic commerce, social networking, "web 2.0," and digital content distribution. Mr. Schwab has taught Cyberspace law as an adjunct professor at Santa Clara University School of Law.

Mr. Schwab earned a J.D., magna cum laude, from the University of Illinois College of Law, where he served as a member of the Illinois Law Review. He completed his undergraduate education at Northwestern University. Prior to attending law school, Mr. Schwab worked at the law firm of Kirkland & Ellis in Chicago, providing litigation and technology support.

Mr. Schwab is admitted to practice before the Colorado and California bars, including the U.S. District Court, Northern District of California and the U.S. Court of Appeals, Ninth Circuit.
