Charlie regularly advises clients on all aspects of the federal laws and regulations affecting asset-backed securities and other structured finance products. He has represented financial industry groups in their responses to many of the regulatory changes that have affected these products since the financial crisis, including Regulation AB II and the Dodd-Frank credit risk retention rules. His securitization experience encompasses many asset types and structures, including innovations such as the first automobile lease securitizations. Charlie is the author of The Federal Law of Asset-Backed Securities: The Offering Process and Periodic Reporting, published by Bloomberg BNA.

Charlie also advises clients on other federal securities law and general corporate matters. He counsels public and private companies, their directors and officers, and investment banks and investors regarding securities registration and reporting matters, governance issues, stock exchange listing requirements and insider trading restrictions. Charlie’s corporate transactional practice emphasizes public offerings and private placements of securities, but he also has a broad background in other types of transactions, including repurchase and debt facilities, mergers and acquisitions, and partnerships and joint ventures.

At the University of Texas School of Law, Charlie was a member of the Order of the Coif, a member of the Chancellors (the school’s highest honorary organization) and an associate editor of the Texas Law Review. He is a member of the American Bar Association and the Society of Corporate Secretaries and Governance Professionals.
