Charles I. Cogut

Charles “Casey” Cogut is Senior M&A Counsel at Simpson Thacher & Bartlett LLP. For many years he has been a leading member of STB’s M&A and Private Equity Practices. He specializes in domestic, international and cross-border mergers and acquisitions; the representation of special committees of boards of directors; and buyouts and other transactions involving private equity firms.

Over the course of his career, Casey often has been involved in coordinating teams of professionals in complex multi-jurisdictional acquisitions. In addition, he regularly advises boards of directors with respect to corporate governance matters and fiduciary responsibilities. Casey joined the Firm in 1973 and became a Partner at Simpson Thacher in 1980. From 1990 through 1993, he served as Senior Resident Partner in the Firm’s London office.

Casey represented Eaton Corp. in its acquisition of Cooper Industries, Microsoft Corporation in connection with its acquisition of Skype Global S.à r.l. and Sealed Air Corporation in its acquisition of Diversey Holdings, Inc. He also represented The Mosaic Company in connection with the split-off by Cargill, Incorporated of its approximately 286-million share position in Mosaic in a transaction valued at approximately $24 billion. Casey has been integral to the Firm’s representation of Kohlberg Kravis Roberts & Co. and its portfolio companies for more than 20 years. He also regularly represents other private equity firms such as Silver Lake Partners, JLL Partners and Sageview Capital and other corporate clients such as BD and Toll Brothers.

Casey is well recognized as one of the leading corporate lawyers in the United States. He has been named a “senior statesman” in the practice areas of Corporate-Mergers and Acquisitions and Private Equity/Buyouts in Chambers Global and Chambers USA Guides. He has also been named as one of “The Best of the Best” merger and acquisition lawyers, private equity lawyers and governance lawyers in Euromoney’s Expert Guides. In addition, he has been recognized by Lawdragon 500 as one of the leading lawyers in America. Casey was named as a Deal Maker of the Year by The American Lawyer in both 2008 and 2010 with respect to transactions completed in 2007 and 2009.

Casey received his J.D. in 1973 from the University of Pennsylvania Law School after graduating summa cum laude from Lehigh University in 1969. He is a member of the Board of Overseers of the University of Pennsylvania Law School; Co-Chair of the Board of Advisors of the University’s Institute for Law and Economics; and a member of the Law School’s adjunct faculty. He also is a member of the Board of Trustees of Cold Spring Harbor Laboratory.
