Charles M. Miller

Charles M. Miller specializes in litigation in connection with debt and equity securities and derivatives, structured financial products, and financial contracts. Mr. Miller has extensive experience advising corporations, total return funds, high net worth individuals, and other market participants with respect to their positions in securities, derivatives, structured products, and financial contracts, including potential legal claims relating to such positions. Mr. Miller has extensive experience litigating disputes arising in connection with the purchase and sale of residential mortgage-backed securities (“RMBS”), collateralized debt obligations (“CDOs”), collateralized loan obligations (“CLOs”), and bonds backed by a wide variety of receivables and other cash flows. Mr. Miller has extensive knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934, including securities claims pursuant to Sections 11, 12, and 15 of the ’33 Act, and Section 10(b) and Rule 10b-5 of the ’34 Act. Mr. Miller also has extensive experience litigating disputes arising in connection with bond indentures and asset and investment management contracts, including disputes concerning bondholder’s payment rights pre- and post-default, acceleration and diversion of cash flows in the event of asset impairment, and the exercise of investment managers’ discretion in acquiring, classifying, managing, and disposing of portfolio assets.

Mr. Miller is a 1997 graduate of the Fordham University School of Law, where he taught trial advocacy as an adjunct professor following graduation.
