Charles N. Bensinger III

Chip Bensinger practices corporate law, with a focus on lending and structured finance, mergers and acquisitions, and general corporate matters. He has represented capital providers and users in a broad variety of secured and unsecured lending transactions, including cross-border credit facilities, acquisition financings, professional sports franchise financings, subordinated and mezzanine debt, project finance, public debt issuances, and chapter 11 debtor-in-possession and exit financings. Chip also has led numerous M&A transactions, both U.S. and cross-border, including public mergers; private equity buyouts and exits; asset acquisitions and dispositions; distressed acquisitions, dispositions, and restructurings; and joint ventures.

Representative transactions include advising: a consortium of private equity firms in an extraordinarily complex $2.3 billion acquisition financing; ConAgra Foods in the $6 billion financing of its acquisition of Ralcorp Holdings; a debtor emerging from more than three years of chapter 11 proceedings with five different levels of secured and unsecured debt; and the lenders financing the New Jersey Devils and construction of the world-class Prudential Center, the first major league sports venue built in the New York metropolitan area since 1981. Chip also has coordinated two cross-border acquisitions each involving more than 30 countries.

Representative clients range from public companies such as Abbott Laboratories, ConAgra Foods, Diebold, Frontier Communications, HNI, Kaiser Aluminum, The Stanley Works, and Verint Systems to private companies and private equity firms such as Duchossois Industries, J.F. Lehman & Company, One Equity Partners, and Ospraie Management and include lenders such as CIT, Jefferies, Royal Bank of Scotland, and SunTrust Bank.
