Charmaine L. Slack

Charmaine Slack advises senior executives, boards of directors, and compensation committees of public and private entities on a wide variety of executive compensation and equity arrangements. She counsels clients on the diverse and complex compensation matters that arise in substantial domestic and cross-border M&A, leveraged buyout, and private equity and other fund investment transactions across a spectrum of industries. Her practice encompasses designing and preparing creative incentive arrangements in investment transactions. She regularly counsels on the broad array of legal and business issues that arise in executive compensation programs affecting CEOs and other senior executives, including employment, change in control, and severance arrangements; and equity performance/incentive, deferred compensation, and director compensation programs. She provides corporate governance advice and technical guidance on tax and securities rules affecting compensation and benefits.

Representative transactions include: Ospraie Management's acquisition of ConAgra Trade ($2.8 billion), Nextel's merger-of-equals with Sprint ($46.5 billion), HealthMarkets' acquisition by Blackstone ($1.8 billion), CalEast's (LaSalle Investment Management) acquisition of Centerpoint ($3.4 billion), Bank of Ireland Asset Management's acquisition of Guggenheim Alternative Asset Management ($184 million), and IMG Worldwide's acquisition by Forstmann Little ($750 million).

Other companies to which Charmaine has provided substantial advice include CBS, Hewitt Associates, J.F. Lehman & Company, Reader's Digest, Sirius XM Radio, and WL Ross & Co.

She is a frequent speaker on cutting-edge executive compensation matters and serves as chair of the Federal Securities Law Issues Subcommittee of the American Bar Association's Employee Benefits Committee, Taxation Section. She also serves on the board of Girls Incorporated of New York City.
