Dale Smith's practice focuses on finance, energy, oil and gas and real estate matters. His finance and banking experience includes the representation of both lending institutions and borrowers in all types of secured and unsecured credit transactions, including syndicated and structured finance transactions, project finance, letter of credit, working capital, ABL and exploration and production borrowing base facilities, workouts and restructurings and DIP and bankruptcy exit financings.

Dale's upstream oil and gas experience includes the preparation and negotiation of leases, farmout and participation agreements, seismic and license agreements, contracts for drilling and other service arrangements, operating agreements, and gas and product purchase and sale agreements. In addition, Dale has experience performing mineral reserve due diligence reviews for purposes of advising clients providing capital to exploration and production companies. Dale’s midstream experience includes the drafting and negotiation of gathering agreements, gas processing and fractionation agreements, and crude and liquids transportation and storage agreements.

Dale also represents electric and gas utilities in the negotiation and preparation of engineering, procurement and construction contracts for the development of new fossil fuel plants and the environmental retrofitting of existing plants.

Dale’s real estate experience includes the representation of buyers and sellers in the acquisition and disposition of both raw land and income-producing properties, and the representation of landlords and tenants in commercial leases.

Prior to entering private practice was employed in the electric and gas utility industry for 14 years.
