One of the leading members of Kirkland’s corporate practice and a member of the Firm’s Global Executive Management Committee, David focuses his practice on complex mergers and acquisitions including contested and cross-border transactions. He frequently counsels boards of directors and senior management in connection with crisis situations, and in general governance matters.
David is currently representing Pfizer in its acquisition of Baxter’s portfolio of marketed vaccines. He recently represented Blackstone in its investment in Kronos and in its acquisition from KKR, along with Goldman Sachs' Merchant Bank, of Ipreo. He also represented Blackstone in its $26 billion acquisition proposal for Dell. He advised Clearwire in Sprint's acquisition of the remaining stake in Clearwire and the unsolicited competing offer by DISH Networks, and Bristol-Myers Squibb in its $4.3 billion sale to AstraZeneca of its interest in the companies' diabetes alliance. Other significant transactions led by David include Duff & Phelps' sale to a private equity consortium, BMS‘s $7 billion acquisition of Amylin Pharmaceuticals and Avis Budget Group's acquisition of Zipcar. Additionally, he represented Beechcraft in its sale to Textron and Golden Gate Capital and Eddie Bauer in the proposed sale of Eddie Bauer to Jos A. Bank.
Adding to his considerable international experience, David is representing Infineon Technologies AG in its $3 billion acquisition of International Rectifier Corporation and recently represented Given Imaging Ltd. in its $1 billion sale to Covidien plc. He previously represented Avis Budget in its $1 billion acquisition of Avis Europe plc; BMS in its collaboration arrangement with Reckitt Benckiser; Koor Industries in Makhteshim-Agan Industries' $2.4 billion merger agreement with a subsidiary of ChemChina; and Teva in its $5 billion acquisition of Germany's ratiopharm.
David has handled many other notable transactions, including Cendant Corporation’s separation into four independent, publicly owned companies, Realogy’s $9 billion going-private by Apollo, Travelport’s $4.3 billion sale to an affiliate of Blackstone and Toys “R” Us’ $6.6 billion acquisition by an investment group.
The International Who’s Who of M&A Lawyers 2014 named David among the world’s leading lawyers and in 2013 one of the world’s 10 “Most Highly Regarded Individuals.” He is also listed among “The Elite” in New York for Corporate/M&A by Chambers USA. In 2012, he was named a “Dealmaker of the Year” by The American Lawyer. As a contributing author of Kirkland’s M&A Update, David’s thought leadership has been recognized by The Harvard Law School Forum on Corporate Governance and Financial Regulation, The Wall Street Journal, The NYT’s Deal Professor and Investment Dealers’ Digest.
David is a member of the board of directors at the Park Avenue Armory, which is dedicated to giving one of America’s historic treasures a new life as a center for performing and visual arts. He also serves on the board of New Alternatives for Children, which provides crucial support to families caring for medically fragile children. David lives in New York with his wife and daughter.
