David Wagner is a counsel in the firm's Business Law Department and a member of the Real Estate, REITs & Real Estate Capital Markets Group. Mr. Wagner focuses his practice on the establishment and ongoing management of a variety of real estate private investment funds. He also assists these funds in the purchase, sale and financing of real estate and real estate-related assets. Mr. Wagner joined Goodwin Procter in 2004.

Mr. Wagner’s experience in the fund formation area includes representing domestic and international real estate funds in all aspects of the fund formation process, including advising fund sponsors and managers with respect to organizational, operational and compensation matters, and preparing, structuring and negotiating fund formation and investment documents. He also represents a broad range of clients investing through a variety of complex structures in various real estate assets, including hospitality, apartment, office, condominium and retail throughout the United States.
