Deb advises clients on the formation, marketing and operation of private equity funds including buyout funds, mezzanine funds and funds of funds. Deb represents private fund sponsors in a wide range of corporate matters including structuring, operations and governance of their funds and management companies, succession planning, carried interest arrangements, employee investment programs, marketing arrangements and limited partner transfers.

In addition, Deb has extensive experience representing US and international institutional and other investors (including endowments, funds of funds, private foundations and family offices) in connection with investing in private investment funds (including natural resources funds, real estate funds, mezzanine funds, venture capital funds, buyout funds, funds of funds and hedge funds), both in primary and secondary transactions, as well as separately managed accounts and “funds of one.”
