E. Scott Schirick

Scott Schirick is a member of Pryor Cashman’s Litigation Group. He has extensive experience in complex federal and state court litigation matters, securities enforcement and regulatory investigations, and white-collar criminal defense matters. Scott regularly represents public companies, financial institutions, and individuals in investigations before the U.S. Department of Justice, the SEC, CFTC, Congressional committees, FINRA and various state attorneys general.

Recent highlights of Scott’s government investigations and litigation practice include:

Institutional representations

Representing a major broker-dealer in an investigation by the DOJ and SEC alleging securities and TARP fraud by the bank's RMBS desk;
Representing the special committee of a Fortune 100 company in a high-profile insider trading investigation by the DOJ and SEC;
Representing a large financial institution in a money laundering investigation conducted by the DOJ;
Defending a private equity fund and its principals in a DOJ investigation alleging public corruption of federally elected officials;
Defending a prominent New York construction company in a federal grand jury investigation related to billing for union labor;
Representing a medical and defense technology company in an internal investigation and, later, parallel investigations by the DOJ and SEC concerning alleged FCPA violations;
Representing multinational oil and gas exploration and production firm related to alleged FCPA violations for dealings in Libya, Equatorial Guinea and the Middle East;
Representing public companies in connection with investigations of a variety of accounting issues, including merger and purchase accounting reserves; the use of special purpose entities and other off-balance sheet arrangements; revenue recognition practices in a variety of contexts; and the adequacy of internal accounting and disclosure controls.

Individual representations

Representing a senior employee of General Motors in DOJ's investigation of the ignition switch recall;
Representing a senior banker from a major financial services firm in LIBOR-related investigations by the DOJ, the CFTC and the UK Financial Conduct Authority;
Representing a former member of senior management of a publicly traded REIT in connection with a federal grand jury investigation of accounting fraud;
Defending a former senior executive from Sharp Corporation in DOJ Antitrust Division and JFTC cartel investigations;
Defending a sitting state-wide elected official in the NYAG's pension fund pay-to-play investigation.

Recent highlights of Scott’s complex civil litigation practice:

Serving as lead counsel to a Fortune 500 company in a multinational dispute over the tax indemnification provisions of a $5 billion merger agreement;
Serving as lead counsel to a Fortune 500 company in an AAA/ICDR arbitration in connection with the divestiture of foreign assets;
Represent a pioneering 3-D sensing technology company in a contractual dispute with a major game console manufacturer;
Represent a securities firm in FINRA arbitration against a former employee concerning issues of compensation and indemnification;
Represent a hedge fund manager in various civil litigation and FINRA arbitrations stemming from the collapse of the fund.

Scott is a 2003 graduate of Georgetown University Law Center, where he was Director of the Holocaust Reparations Project. During law school, Scott interned for the U.S. Attorney’s Office for the District of Columbia and also for Judge Faith S. Hochberg of the U.S. District Court for the District of New Jersey.
