F. Susan Gottlieb,

of counsel in the New York office, is a member of the firm's Public Finance Department and its leading Public Power Group. She is extremely knowledgeable in all aspects of municipal and corporate finance with a particular emphasis on financings for public power projects and rural electric cooperatives. She has spent the bulk of her career working on both tax-exempt and taxable financings for public power clients including joint action agencies, municipal utilities and rural electric cooperatives. She has had many roles in these financings including bond counsel, counsel to the underwriters and company counsel.

Over her career she has worked on financings for joint action agencies and municipal utilities such as the Alabama Municipal Electric Authority, the Florida Municipal Power Agency, Gainesville (Florida) Regional Utilities, JEA, the Massachusetts Municipal Wholesale Electric Company, MEAG Power, Southern Minnesota Municipal Power Agency, Michigan Public Power Agency, Western Minnesota Municipal Power Agency and WPPI Energy. She has participated in financings for some of the largest generation and transmission cooperatives in the United States including Basin Electric Power Corporation, Big Rivers Electric Corporation, Dairyland Power Cooperative, Great River Energy, Hoosier Energy Rural Electric Cooperative, Oglethorpe Power Corporation and Seminole Electric Cooperative. The transactions in which Ms. Gottlieb has participated have included public offerings, private placement and 144A financings, system and project financings, tax-exempt and taxable financings, secured and unsecured debt, senior and subordinated debt, fixed rate and variable rate debt and derivatives and she has had extensive experience in drafting documents for all of these types of financings.

In addition, Ms. Gottlieb has considerable experience with all types of disclosure issues encountered by electric utilities. Her public-power clients have included the Florida Municipal Power Agency, the Gainesville (Florida) Regional Utilities District, the Massachusetts Municipal Wholesale Electric Company, Southern Minnesota Municipal Power Agency, and the Michigan Public Power Agency. Her rural electric cooperative clients have included Associated Electric Cooperative, Inc., Basin Electric Power Cooperative, Big Rivers Electric Corporation, Dairyland Power Cooperative and Hoosier Energy Rural Electric Cooperative.
