G. Brayton Dresser

Brayton Dresser represents clients in public and private securities offerings, mergers and acquisitions, joint ventures, bank financings and intellectual property licensing arrangements.

Mr. Dresser advises public and private companies on a wide variety of corporate matters, including incentive compensation plans, executive employment agreements, and compliance with federal securities laws. He counsels emerging companies from formation and initial capitalization through all aspects of financing and implementation of their business plan.

An important area of Mr. Dresser’s practice is the representation of sponsors and investors in private equity funds, with a particular focus on real estate funds. This practice includes advice on registration and operation of investment advisers and implementation of associated compliance programs (including consideration of anti-money laundering, FCPA and political risk issues), formation and operation of investment funds and strategic joint ventures, implementation of related financings and conduct of global securities offerings, both direct offerings and offerings through registered broker dealers or other intermediaries.

Mr. Dresser graduated from the U.S. Navy’s one-year Nuclear Power Training Program and spent four years in the submarine service as a division officer and department head on two nuclear-powered attack submarines.
