George Howard's practice focuses on corporate restructuring, bankruptcy, and other insolvency-related matters. In addition, he counsels clients on fraudulent conveyance, illegal dividend, preferential transfer, fiduciary duty, and corporate formalities issues. George has played an active role in Jones Day's representations of companies, secured lenders, asset purchasers, and other significant constituencies in distressed situations. He has particular experience in the sale and acquisition of assets through bankruptcy and the negotiation and approval of debtor-in-possession financing arrangements.
Outside of restructuring, George has experience in various corporate matters in the metals and mining industry including negotiating and drafting strategic joint venture agreements, long-term supply agreements, and commodity trading agreements.
George's major client representations include substantial involvement as debtor's counsel in the chapter 11 cases of Franciscan Communities St. Mary of the Woods, Fresh & Easy Neighborhood Market Inc., Harry and David, Hostess Brands, and Metaldyne Corporation. Other recent representations include: Peabody Energy Corporation in the chapter 11 cases of its former subsidiary, Patriot Coal Corporation; WL Ross & Co. LLC in connection with the $110 million acquisition of a majority stake in Navigator Holdings Ltd.; Cliffs Natural Resources and The North American Coal Corporation in various corporate matters; Industrial Growth Partners in connection with its acquisition of Lexington Precision Corporation; and MBIA Insurance Corporation as a secured creditor in the chapter 11 cases of Forum Health and its affiliated debtors.
