Gislar Donnenberg is an experienced capital markets lawyer. His experience includes both issuer and underwriter representation in initial public offerings, public equity and debt offerings, mergers, business combinations and acquisitions, private placements, and special and conflicts committee representations. His work has a primary focus on energy, including the areas of onshore and offshore exploration and production, pipelines for natural gas, crude oil and refined products, terminaling and storage, refining, wholesale and retail gasoline, as well as drilling services. Additional industries include real estate, aviation, chemicals, biotechnology and health care.

Gislar also regularly assists public company clients with corporate and partnership governance issues, including advising audit and compensation committees, executive compensation, periodic filings with the Securities and Exchange Commission, and acquisition structuring.

During his career, Gislar has worked on numerous IPOs and was lead counsel on more than ten IPOs as both issuer’s counsel and underwriter's counsel. Gislar also was lead counsel or MLP lead counsel in several high profile public mergers, including the purchase by a C-corporation of the general partner of a MLP, as well numerous acquisition and drop down transactions.
