Heather Brookfield is of counsel in Morgan Lewis's Employee Benefits and Executive Compensation Practice. Ms. Brookfield focuses her practice on all aspects of executive compensation, including the design, implementation, governance, and maintenance of equity and incentive compensation plans, nonqualified deferred compensation plans, employment agreements, tax-qualified retirement plans, and severance programs. She counsels public and private companies of all sizes and types on a wide range of legal, regulatory, and governance issues arising under the Internal Revenue Code, securities laws, stock exchange listing standards, institutional investor voting policies, and ERISA.
Ms. Brookfield regularly advises public and private companies with respect to compensation matters and benefits issues that arise in connection with initial public offerings, mergers, acquisitions, and other corporate transactions, with a focus on executive compensation matters for key management. Ms. Brookfield represents executives in the negotiation of employment agreements and assists in the representation of senior management teams in leveraged buyout transactions.
Ms. Brookfield earned her J.D. from New York University School of Law in 1998 and her B.A. from the University of California, Santa Barbara in 1994.
