Hushmand Sohaili has a broad range of real estate experience, including the acquisition, disposition, sale/leaseback, exchange, financing and refinancing (including mezzanine debt) of commercial, residential, retail, special use, industrial, hotel and gaming properties and related businesses. In the hotel area he has also represented luxury hotel owners of five star hotels in the negotiation, documentation and restructuring of their hotel management agreements, the purchase and sale of such luxury hotels as well as the documentation of new hotel loans and the restructuring of the same. A significant part of his practice over the last few years has involved representing buyers and sellers of distressed real estate consisting generally of private equity investors and funds in purchasing real estate loans and mortgage pools, and clients in structuring and restructuring the real estate holdings of corporations and other legal entities and their investors, including loan workouts, foreclosures and asset purchases and sales, in and out of bankruptcy and the buyouts of partners. Mr. Sohaili has also represented private equity funds and similar investors in making highly leveraged loans to companies and restructuring the same in and out of bankruptcy where a significant part of the assets of the companies are real estate. Mr. Sohaili also has represented REITs and has handled UpREIT and DownREIT transactions. In the finance area he has handled securitized capital markets and institutional and non-institutional real estate financings.
Prior to joining Akin Gump, Mr. Sohaili was a founding partner of the Los Angeles office of an international law firm, where he focused on real estate finance transactional matters.
Mr. Sohaili received his B.A. with highest honors in economics from the University of Southern Illinois in 1975 and his J.D. from the University of Southern California Gould School of Law in 1979, where he was a member of Order of the Coif. He is a member of the California Bar and the Los Angeles County Bar Association Real Estate Section.
