James E. Gregory

James E. Gregory is a Partner in the firm’s Employee Benefits & Executive Compensation Group where he represents companies and individuals on a full range of executive compensation matters.

He has broad experience in structuring employment agreements, equity compensation, performance incentives, deferred compensation, change in control protections, management participation in buyouts and new ventures and severance and separation arrangements. His representative clients include private and public companies, start-up companies, private equity and hedge funds, CEOs and other senior executives, portfolio managers and entrepreneurs (in various industries) seeking advice on a wide variety of executive compensation, tax and related legal matters, including the laws governing limited liability companies and the tax rules governing deferred compensation (i.e., Tax Code Section 409A). Jim also advises both employers and employees on the enforceability of non-compete and non-solicit agreements and other post-employment restrictive covenants and has an active international practice, counseling companies and individuals regarding cross-border mobility and employment issues.

Jim has significant experience in both law and in business. In addition to positions at major law firms, he has been a tax director in the U.S. national tax practice at Pricewaterhouse Coopers and has served as general counsel to a large private company. He is a frequent speaker on topics involving executive compensation, international employment and related matters.

Prior to joining the firm, Jim was a partner at Proskauer Rose LLP in New York.
