Jason F. Hellwig

Jason Hellwig is a corporate partner in the firm’s New York office who focuses his practice on capital markets transactions, including private securities offerings, secured lending, project finance, sports finance, structured finance, lease finance, and general corporate matters.

Mr. Hellwig has represented both issuers of, and institutional investors purchasing, privately placed debt and equity securities in a variety of sports finance, project finance, structured finance and lease finance transactions. Such transactions have included secured and unsecured financings for the construction or renovation of professional sports stadiums (including Yankee Stadium, Dodger Stadium, Levi’s Stadium), office campuses and shopping centers and the acquisition and disposition of aircraft, vessels and a wide variety of cogeneration projects. He has also represented both borrowers and lenders in investment grade and sub-investment grade secured lending transactions. Mr. Hellwig’s structured finance experience includes linked-note and securitization transactions tied to both domestic and foreign credits and several financings dependent on revenue streams from power purchase and off-take contracts.

Mr. Hellwig’s representative clients include: Morgan Stanley, Goldman Sachs, Bank of America Corporation, UBS, Wells Fargo Bank National Association, The Los Angeles Dodgers/Guggenheim Baseball Management, JPMorgan, Commonwealth Bank of Australia, Barclays, BNP Paribas, Millennium Pipeline Company, L.L.C., and numerous insurance companies active in the private placement market.

Mr. Hellwig has negotiated and prepared various types of financing documents, including both secured and unsecured note purchase agreements, credit agreements and numerous project-related leases and security documents.

Mr. Hellwig received a B.S. in Social Change and Development and History, summa cum laude, from the University of Wisconsin-Green Bay in 1996 and an M.Sc. in International Relations from the London School of Economics and Political Science in 1997. He received a J.D., cum laude, from the University of Wisconsin Law School in 2000 and was the recipient of the Mary Kelly Quackenbush Memorial Award.

Mr. Hellwig is a Fellow of the American College of Investment Counsel.
