representing an activist fund in two ultimately successful proxy contests for a “short slate” of nominees to be elected to the board of directors of a public company
representing a distressed debt fund in connection with the sale of a portfolio company’s equity securities as a selling stockholder in an initial public offering and a follow-on offering

the review of multiple Forms ADV Part 1A and Parts 2A and 2B
the review of multiple compliance manuals in connection with the Investment Advisers Act of 1940 and the Securities Act of 1933
analysis of whether multiple managers are required to register under the Investment Advisers Act of 1940
