Jeff Walbridge is a partner in O'Melveny's Newport Beach office and Chair of the Tax Practice and Executive Compensation & Employee Benefits Practice. He counsels clients across the country on compensation and benefits issues. In particular, Jeff regularly advises clients with respect to the design and implementation of equity-based and other annual and long-term incentive arrangements, non-qualified deferred compensation plans, employment, severance, and change-in-control arrangements, the securities laws and disclosure requirements applicable to these arrangements, and the taxation of these arrangements.
Jeff regularly advises clients on compensation and benefits issues in the context of mergers and acquisitions, public offerings, private equity investments, and other corporate transactions. Jeff also advises boards of directors in addressing stockholder proposals regarding executive compensation matters, executive succession and transition issues, and related corporate governance matters.
