Jennifer Mercier Moseley

Jennifer M. Moseley is a Partner in the Corporate Practice. Ms. Moseley works with public and private companies in stock and asset purchases, stock-for-stock combinations, cash out mergers, tender and exchange offers. Ms. Moseley advises public companies on Exchange Act reporting requirements and also counsels clients regarding stock exchange matters and securities compliance issues for registered broker-dealers. Ms. Moseley also has experience working with technology and tech-enabled clients in the software, healthcare IT, financial technology, and SaaS industries.In addition, she assists financial institutions in debt and equity financing transactions and distressed-debt trade transactions.

Ms. Moseley also advises companies on capital formation, financing strategies and general corporate governance. She regularly represents EB-5 regional centers with their formation, structure and securities offering matters, as well as companies seeking investment in connection with the EB-5 visa regional center program under U.S. Citizenship and Immigration Services (USCIS) rules and regulations. The EB-5 visa program, also known as the Immigrant Investor Program, was created by Congress to stimulate the economy through job creation and capital investment.

Ms. Moseley earned her J.D. from Cornell University and B.A. cum laude from New York University. In 2012 and 2013, she was named a “Rising Star” by Super Lawyers in the area of Business/Corporate law. She is a current member of the Georgia State Bar, Alabama State Bar, New York State Bar and Association to Invest in the USA. Ms. Moseley is fluent in Korean.
