Jérôme Herbet is an international corporate partner in Winston & Strawn's Paris office who concentrates his practice in banking and financial law, insurance law, financial market transactions, and structured finance.
Mr. Herbet has advised French and foreign corporations in connection with various cross-border transactions, including mergers and acquisitions and stock exchange transactions. He also regularly advises companies for the purposes of corporate finance transactions, including private placements and complex financing structures.
He has an extensive knowledge of regulatory issues in the banking, financial, and insurance fields in France and Europe, as well as issues related to the marketing of financial products and services, including collective investment vehicles and mutual funds. Mr. Herbet acts as counsel to a number of French or international players in the field of asset management and private banking. He advises his clients for the purposes of obtaining the appropriate licenses, setting up innovative products, or entering into complex commercial cooperation agreements.
Mr. Herbet has longstanding relationships with various regulated financial institutions that he advises on a regular basis in connection with regulatory matters. He also occasionally represents such institutions or their managers in front of the competent disciplinary bodies (Autorité des marchés financiers, Autorité de contrôle prudentiel).
He has participated in numerous stock exchange transactions, including initial public offerings, public tender offers, and the issuance of various financial instruments, including convertible bonds. He also has advised stock exchanges such as Euronext Paris, the French stock exchange, for the purposes of setting up its Euro DR compartment or foreign exchanges in connection with their European development.
Mr. Herbet received a D.E.J.A. in American and English Law in 1993, a Maîtrise in Corporate Law in 1993, and a D.E.A. in Business Law in 1995 from the University of Paris X - Nanterre. He graduated from the Institut d’Etudes Politiques de Paris in 1996.

Mr. Herbet was ranked in in the fifth edition of Best Lawyers in France in the practice area of finance law. He has been distinguished as “recommended” counsel for France in the Which Lawyer? section of PLC’s 2007, 2008, 2009, and 2010 Cross Border Handbook on Investment Funds. He appeared in the Best Lawyers 2013 selection for Finance published in the French leading financial newspaper Les Echos and was highly recommended by the Décideurs 2014 Guide (Leaders League France) in the field of Asset Management (ranked Band 2 – excellent practice).
Mr. Herbet is a member of the Association Européenne de Droit Bancaire et Financier - France. He also is a member of the Institut Français des Administrateurs (the French Director Institute).
