Joanna Shally

Joanna Shally is a counsel in the firm’s Litigation Group. Her experience is extensive, with a focus on complex commercial and financial litigation, including securities class action and shareholder derivative litigation, civil and criminal fraud investigations and cases brought by the Department of Justice, Securities and Exchange Commission, and state attorneys general concerning disclosure, financial products, financial reporting, false claims suits, as well as qui tam actions.

Ms. Shally’s practice encompasses the full range of matters related to loan enforcement, mortgage foreclosures, sale of collateral, enforcement of guarantees, and exercise of attachment and setoff rights; lender liability, including defense of claims based upon breach of contract, breach of fiduciary duty, fraud, misrepresentation, duress, and violation of RICO; multi-debtor and single-asset bankruptcy cases, including validity of liens, relief from automatic stay, debtor in possession financing, cash collateral rights, preference and fraudulent conveyance claims; representation of sellers and buyers in disputes arising out of asset or stock purchase agreements, including anticipatory repudiation of contract, and purchase price adjustments.

Ms. Shally’s practice also covers product liability litigation and insurance coverage litigation, where Ms. Shally has served as counsel to both property and casualty insurers and policyholders in disputes arising out of a variety of claims, ranging from environmental, asbestos-related bodily injury, and other long-tail claims to more specialized claims, such as directors and officers liability, errors and omissions, and fidelity insurance against employee dishonesty. Prior to joining the firm Ms. Shally served as a judicial clerk to the Hon. Arlin M. Adams, U.S. Court of Appeals for the Third Circuit, from 1978 to 1979.
