John F. Halula

John Halula is a partner in Holland & Knight's Miami office. He maintains an active practice in the areas of real estate, and institutional and consumer finance. He has 20 years experience in these areas. In the real estate area, he represents clients in transactions involving sales, acquisitions, sale-leasebacks, ground leases, building and space leases, and like-kind exchanges of real property and related personal property.

In the area of institutional finance, Mr. Halula represents various types of domestic and international lenders providing construction and permanent financing for multifamily residential, retail, office and industrial projects. These include banks, insurance companies, and credit companies. He concentrates in real estate secured, asset-based and balance sheet financings, at their inception, renewal, and (trouble debt) restructuring. Such representation often includes documentation of multi-lender credits such as participations, syndications (including A-B note structures) and intercreditor arrangements. His experience also includes involvement in multi-state mortgage financings. Additionally, he has developed substantial experience representing providers of credit enhancement, such as letters of credit, in municipal finance transactions.

Mr. Halula assists conduit lenders in the origination of mortgage loans to be pledged as security for mortgage pass-through certificates and is experienced with the issues typically arising with such transactions including SPE requirements, non-consolidation opinions, earn-outs and lock-box arrangements.

In the area of consumer finance, Mr. Halula provides counseling in the Florida Consumer Protection Laws, Mortgage Brokerage Act, and the federal truth-in-lending laws to a variety of banks, mortgage lenders and credit companies.

Mr. Halula has lectured on real estate finance topics and is an adjunct professor of law at the University of Miami School of Law.
