John W. Chapas

John is a member of the Business & Finance Department. John joined Reed Smith in 2000, bringing with him considerable experience in corporate law and transactions. John understands the need for prompt, well-thought out answers, and has counseled both emerging and established businesses through their numerous stages of growth, business planning and corporate governance. He is an experienced team leader and has been actively involved in acquisitions, asset sales, redemptions and other transactions. In addition, he has negotiated numerous corporate relationships including joint ventures, e-commerce agreements, technology agreements, leasing transactions (for aircraft, rolling stock and other interests), website terms of use, podcast agreements, distribution agreements, purchase orders, business divorces, employment contracts, credit agreements (and related security interest documentation) and sports law media rights, sponsorship and production contracts.

John's areas of experience include software and data licensing, cloud computing, ASP services / SaaS, technology development (i.e. work for hire) and transfer, professional services, outsourcing and related matters. In addition, he has conducted numerous speaking engagements on various topics, such as cloud computing, data security, divestitures and records retention.

He has also developed, implemented and provided training for records and data management programs (including regarding e-discovery, e-mail retention and litigation hold procedures) and corporate compliance programs.
