Jordan A. Silber

Jordan A. Silber is a partner in the Global Private Investment Funds Group and a member of the Cooley LLP Business department. He joined the Firm in 2002, is resident in the San Francisco office and works regularly from the Firm's Shanghai office.

Mr. Silber's practice is concentrated in the formation and representation of private investment funds, including venture capital, private equity, and funds-of-funds, both in the United States and internationally. He serves as primary fund counsel to over 50 fund managers, and has acted in a leading legal capacity in the raising of over USD $20 billion in private fund interests since 2005, including over USD $12 billion in Asian private fund interests. Mr. Silber represents a diversified base of fund managers in terms of substantive investment areas, although a large percentage of those managers, both in the U.S. and Asia, are focused in information technology, clean tech and/or life sciences investing. Mr. Silber also represents several institutional secondary buyers in their acquisition activities with respect to private fund interests, as well as certain multinational corporations, high net worth individuals and other investors in their primary investment activities in private funds.

Mr. Silber's Asian funds practice is focused particularly on fund managers making investments in China and India. He currently advises over 25 fund managers active in these regions, including some of the earliest institutional venture capital funds in China, and one of the largest Indian private equity funds. With respect to China, Mr. Silber has organized numerous USD-denominated funds offshore from the PRC and is specialized in the raising of those funds, counseling fund managers in terms of their investment structuring for investing the resulting USD capital base in portfolio companies in China, and advising with respect to the establishment of upper-tier subsidiary entities inside the PRC through which those fund managers conduct local operations. Mr. Silber has also assisted certain multinational fund managers in a capacity as global legal counsel with respect to the structuring, documentation and implementation of RMB-denominated fund vehicles. His experience includes work on sino-foreign joint ventures and domestic and foreign partnerships domiciled in China. He has served as global counsel in respect of the raising of several funds sponsored by Chinese governmental entities including the governments of Shanghai and Suzhou.

In 2013, Mr. Silber was recognized in Legal 500 for Investment Fund Formation and Management - Private Equity Funds. Mr. Silber is a regular panelist and participant at U.S., Caribbean and Asian industry seminars and events, speaking on a broad range of legal topics related to venture capital and private equity fund formation and investing.

Mr. Silber obtained a law degree in 2002 from the University of California, Berkeley, Boalt Hall School of Law, an MBA in 1994 from the University of Texas, Austin and a BA from the University of California, Berkeley in 1991. While at Boalt Hall, he authored a note, Online Securities Trading: Triggering the Cycle of Technological Innovation and Congressional Change, 4 Yale J. L. Tech., 5 (2000). Before attending law school, Mr. Silber was an active entrepreneur, opening concert performance halls in Austin and San Antonio, Texas, and acting as promoter to such acts as the Black Crowes, the Indigo Girls and Matchbox 20.
