Joseph Kelly

JOSEPH KELLY is a partner in the firm’s New York office, where he practices in the Global Finance group. Mr. Kelly, who is typically referred to by his nickname Giles, has a practice that covers a broad range of asset classes, with a particular focus on commercial and residential mortgage finance. Mr. Kelly’s recent engagements have included:

representing loan sellers, issuers and underwriters in connection with multiple public and private securitizations of commercial mortgage loans and interests in commercial mortgage loans;
representing an investment fund in connection with its acquisition and financing of multiple pools of excess mortgage servicing rights;
representing a residential mortgage servicer in connection with its acquisition and financing of a $63 billion portfolio of mortgage servicing rights and its proposed acquisition and financing of a $374 billion portfolio of mortgage servicing rights;
representing an issuer in connection with a registration statement on Form S-3 for commercial mortgage-backed securities;
representing various parties in connection with the acquisition, disposition, financing and securitization of various asset pools, including performing and non-performing residential and commercial mortgage loans, REO properties, mortgage servicing rights, mortgage-backed securities, manufactured housing contracts, auto loans and tax liens;
representing various parties in connection with new business ventures regarding residential and commercial mortgage loans, including table funding arrangements, joint marketing agreements, strategic alliance agreements and sourcing and co-investment agreements;
advising various parties regarding new laws and rules affecting the asset-backed securities industry, including rules issued by the SEC pursuant to the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010;
representing bidders in bankruptcy and FDIC auctions of various residential and commercial mortgage loan portfolios, mortgage servicing rights and other related assets;
advising various parties regarding legislative and regulatory initiatives including the Housing and Economic Recovery Act of 2008, the Emergency Economic Stabilization Act of 2008, the Helping Families Save Their Homes Act of 2009, the Home Affordable Modification Program, the Hope for Homeowners Program; and
representing issuers and investors in connection with repurchase claims against RMBS issuers for breaches of loan representations and warranties and material document defects.

Mr. Kelly’s experience with residential and commercial mortgage-backed securities offerings has included the representation of various issuers, underwriters, sellers and servicers in transactions involving all types of residential and commercial mortgage assets, including prime, Alt-A, subprime and second lien residential mortgage loans, floating-rate, fixed-rate conduit and small balance commercial mortgage loans, as well as unique assets such as wireless communications sites and timberland acreage.

Mr. Kelly joined the firm in March 2001. Prior to joining the firm, he worked in the legal division of the U.S. Department of the Treasury on various regulatory and litigation matters, including the regulation of the U.S. Treasury securities markets.

Mr. Kelly graduated from Dartmouth College cum laude in 1993 and from the University of Virginia School of Law in 1996.
