Julie A.S. Vinyard

Julie A.S. Vinyard focuses her practice on merger and acquisition transactions, joint ventures and strategic alliances, and other general corporate and commercial matters. She has also represented banks and other financial institutions in connection with commercial loan transactions.

Prior to joining Steptoe, Ms. Vinyard practiced in the areas of corporate securities and financial transactions at a large New York law firm.

Corporate Law
Ms. Vinyard has advised corporate, partnership, and limited liability company clients in connection with structuring, negotiating, and documenting mergers and acquisitions; restructurings, consulting and servicing arrangements; and joint ventures and strategic alliances. Ms. Vinyard has also advised such clients in connection with governance issues and general commercial transactions, including compliance with state corporation, partnership, and limited liability company laws and federal securities laws. Her experience includes the formation of various types of business entities, including corporations, partnerships, and limited liability companies, and the drafting and negotiating of organizational documents in connection therewith.

Corporate Finance
Ms. Vinyard’s experience in corporate finance includes securities offerings and asset-backed financings. She has also represented banks and other financial institutions in numerous secured financings, including drafting and negotiating credit agreements, security documents, and intercreditor agreements in connection therewith.
