Justin Radell is a member of the firm’s corporate practice.
Practice & Background

Mr. Radell focuses on corporate law, with a concentration in the areas of securities, finance, aircraft finance, mergers and acquisitions, and joint ventures and partnerships. Mr. Radell has represented clients in a wide range of industries, including entertainment, media, retail apparel, technology, manufacturing, transportation, health care, and Indian gaming.

Mr. Radell also provides compliance advice with respect to public traded securities positions, including insider-trading and “group” issues and works with clients in connection with the filing of their Forms 3, 4, and 5, and Schedules 13D, 13F, 13G, and 13H. Mr. Radell also advises clients with respect to ’34 Act reporting requirements, federal and state securities laws, and other general corporate matters.

Mr. Radell received his J.D. in 2004 from the University of California at Los Angeles School of Law, where he was one of two editors-in-chief of the UCLA Journal of International Law and Foreign Affairs. While in law school, he served as a judicial extern during 2002 for the Honorable Raymond C. Fisher of the U.S. Court of Appeals for the 9thCircuit. He received his B.A. in 2000 from the University of California at Berkeley, where he was a member of Phi Beta Kappa.

a nonprofit education and healthcare provider in its acquisition of a non-profit education provider
a technology company in its $200 million purchase of assets
a technology company in its $380 million foundry services arrangement
an investor in its $40 million purchase of a real estate holding company
an investor in its $17 million investment in an elite entertainment company
an investor in its $25 million investment in a television and film production company
a private equity investor in its $25 million investment in twenty-one aircraft
an Indian tribe in its $12 million senior unsecured tax-exempt credit facility
a private equity investor to provide a $20 million senior subordinated loan to a financing company
a NASDAQ-listed apparel retailer in its $35 million credit facility

Community Involvement

Mr. Radell dedicates a substantial portion of his time to pro bono efforts. He has provided general corporate advice to nonprofit clients and, in particular, worked on nonprofit mergers and acquisitions, financings, and corporate governance matters. Mr. Radell is also a member of the board of directors of Playworks Southern California and coordinates the firm’s pro bono support of Playworks’ national organization.
