Kara Parmelee is an attorney in the Corporate Practice Group in the firm's Washington D.C. office.

Ms. Parmelee is a business and finance lawyer with an expertise in Business Development Companies and Small Business Investment Companies. She was formerly the Deputy General Counsel of MCG Capital Corporation, a publicly-traded business development company that provided capital and financing solutions to support the growth of mid-sized companies in diverse industries. She has structured, negotiated, and documented more than 75 senior debt, subordinated debt, and equity transactions, many involving co-investment arrangements with other lenders and private equity firms.

Ms. Parmelee is conversant with the complex regulations and the various, sometimes conflicting, investment requirements applicable to BDCs, SBICs, and Regulated Investment Companies. She is expert at constructing alternative investment structures, in conjunction with tax counsel, to enable deals to advance while maintaining regulatory compliance.

On the securities side, Ms. Parmelee has drafted and reviewed public filings and disclosures to the SEC and the U.S. Small Business Administration. She was responsible for monitoring and assessment of filing, reporting, and other regulatory requirements applicable to BDCs, RICs, SBICs, and public companies generally. In addition, she drafted policies and trained employees on Attorney Professional Conduct, Document Management, Business Continuity and Disaster Recovery, Internal Investment Approvals, Electronic Resources, Insider Trading, 8-K reporting, Credit and Lending Standards, and Business Conduct and Ethics.
