Marcia C. Kelson

Marcia Kelson concentrates her practice on complex employee benefit plan issues arising under ERISA, including transaction-related issues, pension de-risking, ESOP, and employer stock contribution transactions.

Marcia counsels plan sponsors and fiduciaries on issues relevant to employee benefit plans and the employers who sponsor them. She is an experienced advisor of buyers, sellers, and fiduciaries in connection with the benefits and compensation aspects of mergers and acquisitions as well as issues pertinent to higher education and other nonprofit employers. This includes advising public, private, nonprofit, and governmental clients with respect to the structuring, administration, correction, and termination of retirement plans such as 401(k) plans, ESOPs, 403(b) plans, and defined benefit pension plans.

Marcia also counsels clients on minimization of fiduciary liability, including counseling boards and compensation committees on implementation of proper plan governance practices, and representing plan sponsors and fiduciaries in connection with DOL filings, reviews, and investigations.

Marcia is a member of the board of directors of Propel Schools Foundation, a Pittsburgh-based charter school, and is a graduate of Leadership Pittsburgh XXXI. She is also a member of the National Center for Employee Ownership (NCEO) and the National Association of College and University Attorneys (NACUA).
