Michael A. Lee

Michael Lee is special counsel in the firm's Business & Commercial Transactions Practice Group and practices from the firm's Washington, D.C. office. He represents real estate developers and investors, other businesses, nonprofit organizations and public institutions on tax, real estate, and other transactional matters. He has a very active practice in New Markets Tax Credits and other federal tax incentives for economic development targeted primarily to low-income communities. Mr. Lee has more than 30 years of experience in tax-exempt bond financing, affordable workforce housing, and the formation and taxation of exempt organizations.

In New Markets Tax Credit transactions, Mr. Lee has represented primarily borrowers and also financial institutions in various roles. He assists in structuring the transactions, addresses complex tax issues, and negotiates and documents the specifics of each deal.

Mr. Lee's bond financing practice has included section 501(c)(3) bonds, Enterprise Zone bonds and tax credit bonds (such as Qualified School Construction Bonds). He typically represents borrowers rather than issuers, underwriters or providers of credit enhancement. He has extensive experience on the tax aspects of bond financing and also negotiates and drafts the transactional documents.

In the affordable housing area, Mr. Lee has assisted universities and other nonprofit clients in planning or implementing affiliated workforce housing projects in Washington, D.C., California, New York, Hawaii, Mississippi, and New Jersey.

Mr. Lee's exempt organization practice has included providing analysis and advice for universities and other nonprofit clients on issues relating to a wide variety of facilities and programs, including employee housing, student housing, multifamily housing, recreation centers, research facilities, health care, headquarters facilities, student loans, and other matters.
