Paul G. Porter

For more than 15 years, Paul has concentrated his practice in the areas of mergers and acquisitions, private equity, joint ventures, supply chain arrangements, entity governance, finance and business law. A certified public accountant, he served for more than three years as chief financial officer and general counsel for a group of affiliated companies whose annual revenue exceeds $25 million.

Mergers & Acquisitions

Paul devotes a significant portion of his practice to advising purchasers and sellers of business organizations, representing both strategic and financial principals. He assists clients in the structuring, financing, negotiation and consummation of leveraged and management-sponsored buy-outs, as well as conventional business acquisitions and dispositions. In connection with leveraged acquisitions, he also assists clients in negotiating senior and mezzanine debt financing.

Private Equity

Paul represents private equity funds, investment groups and portfolio companies in all types of private equity transactions including leverage buyouts, control and non-control equity investments, venture capital investments and add-on acquisitions for portfolio companies.

Business Law

He is responsible for the day-to-day representation of a number of the firm’s clients, including manufacturing companies. He also advises clients and their boards of directors on corporate governance issues.

He is regularly involved in counseling many of the firm's vehicle, manufacturing and service provider clients in supply chain risk management, including directed supplier arrangements, strategic sourcing, reseller and distribution agreements, warranty/limitation of liability cost allocations and various other UCC Article II matters.

He assists clients with achieving their business objectives, finding practical solutions to complex issues and situations, and making informed business decisions. His practice includes advice on recurring operational issues, such as product-related issues and executive retention matters. In addition, his business law practice includes both sides of venture and mezzanine capital access.
