Ryan Andreoli's practice is concentrated in the area of complex commercial litigation, with a particular focus on representing financial institutions and other large corporations in securities and shareholder derivative matters. He has represented clients in a variety of state and federal courts across the country.

Prior to joining Jones Day in 2015, Ryan played a prominent role in the representation of: the outside directors of Merrill Lynch in shareholder derivative litigation relating to the company's investments in subprime mortgage-related securities; Deutsche Bank in multiple lawsuits alleging violations of state securities laws and RICO in connection with alleged short selling activities; Bank of America in several actions seeking to require the bank to repurchase hundreds of commercial mortgage loans that were originated and securitized by the bank or its subsidiaries; an electronic brokerage firm and its founder in litigation alleging violations of the federal securities laws in connection with the sale of certain subsidiaries to a competitor; and the independent directors of two multibillion dollar hedge funds in shareholder derivative litigation related to the collapse of the funds. Ryan also has experience representing parties and financial advisors in M&A litigation in Delaware and other jurisdictions and advising clients on how to respond to demands from shareholder activists.

Ryan has an active pro bono practice, including representing clients in immigration proceedings and submitting amicus briefs on behalf of nonprofit organizations on issues such as low-income housing and prisoners' rights.
