Ms. Nims is senior counsel in Davis Polk’s Corporate Department. She advises clients on executive compensation, stock-based incentive, deferred compensation and pension plans and other employee benefit arrangements, with particular emphasis on issues arising in the contexts of merger, acquisition, corporate reorganization and bankruptcy and workout transactions. She also advises on pension investment and fiduciary considerations, employment and consulting arrangements, the applicability of federal securities and tax laws to executives and employees, and on general employment-related matters.
