Carrie A. Ratliff

Carrie A. Ratliff

is an associate in the Atlanta office of King & Spalding and a member of the firm’s Corporate Practice Group.

Ms. Ratliff has experience with public and private debt and equity offerings, corporate governance and SEC reporting and disclosure matters, including the preparation and review of periodic reports, and other corporate/securities matters. Ms. Ratliff also has experience representing both target and acquiring companies in private and public mergers and acquisitions and other corporate transactions. Ms. Ratliff received her J.D. from The University of Virginia School of Law in 2007. She received her B.S. degree, cum laude, from The University of Miami in 2004.

Representation of a global package delivery company in public offerings of senior notes totaling $8 billion.

Representation of an aluminum rolled products producer in a $2.5 billion Rule 144A offering of high yield debt securities and related refinancing transactions, including a tender offer and consent solicitation.

Representation of a public lighting fixture and control manufacturer in a $350 million Rule 144A offering of senior notes and a tender offer for debt securities.

Representation of a home improvement retailer in a $1 billion public offering of senior notes.

Representation of a public REIT in a $150 million public offering of senior notes, an “at-the-market” offering of equity securities and a tender offer for debt securities.

Representation of a paper manufacturer in its $107 million initial public offering on the New York Stock Exchange and a $255 million Rule 144A offering of high yield secured debt securities.

Representation of a public manufacturing company in the spin-off of one of its business units to an independent public company.

Representation of the underwriters in a $75 million public offering of common stock by a financial institution.

Representation of a resort and real estate development company in the sale of substantially all of its assets.

Representation of a public branded coffee company and its majority shareholder in a $56 million underwritten public offering of common stock by the majority shareholder.
