Colleen E. Laduzinski

Colleen Laduzinski is a federal tax lawyer practicing in the areas of corporate tax; bankruptcy tax; taxation of reorganizations, mergers and acquisitions, distressed transactions, financings, securities offerings, private equity deals, and litigation settlements; and tax controversies.

Colleen has extensive experience in providing tax advice to distressed companies, notably chapter 11 debtors Chrysler, Dana Corporation, Hostess Brands, Kaiser Aluminum, and Williams Communications; creditors and committees, such as in the Chemtura Corporation and Qimonda cases; investors and lenders of debtors; trustees; liquidating trusts; and investors in out-of-court restructurings, such as Travelport's. Colleen's mergers and acquisitions experience includes Chrysler's asset sale to Fiat-led New Chrysler, Continental Airlines' merger with United, Georgia Gulf's Reverse Morris Trust transaction with PPG Industries, and International Steel Group's acquisition of Bethlehem Steel. She provides tax advice on stock offerings and issuances of investment-grade notes, high yield notes, and convertible notes, as well as exchanges and tender offers, for underwriters such as Jefferies LLC and issuers such as Frontier Communications, Nationwide, and Omnicom. She advises on private equity deals for Aurora Resurgence, The Carlyle Group, and J.F. Lehman and financing agreements for borrowers such as Sprint Corporation and TransDigm and lenders such as Bank of America, Citizens Financial Group, and Jefferies Finance.

Colleen is an author of two bankruptcy tax portfolios titled Jenks, Ridgway, Purnell, and Laduzinski, "Corporate Bankruptcy," Tax Mgmt. (BNA) No. 790-2d (2012) and "Corporate Bankruptcy — Special Topics," Tax Mgmt. (BNA) No. 791 (2012). In addition, she is the practice leader for Jones Day's New Lawyers Group.
