Ms. Tippitt is a Senior Counsel in the Corporate Practice Group in the Houston office of Seyfarth Shaw and has extensive experience in corporate and securities law and mergers and acquisitions. Ms. Tippitt counsels clients on corporate governance, disclosure and compliance under federal and state securities laws, and stock exchange rules. She represents issuers and individuals in both public and private offerings of securities, including initial public offerings, and secondary and follow-on public offerings. Ms. Tippitt advises clients in a variety of business transactions, including: mergers, acquisitions and divestitures, as well as exchange offers, tender offers, going private transactions and venture capital fund formation and financing. In addition, she represents clients in connection with general corporate and partnership formation matters, shareholder and governance issues, as well as commercial transactions, contract drafting and negotiation.
