Elliott M. Smith is a partner in Winston & Strawn LLP’s Corporate Department and is based in the firm’s New York office. Mr. Smith focuses his practice on corporate and securities law and has represented clients on matters involving public and private offerings of debt and equity securities, mergers and acquisitions, and private equity and venture capital transactions. Mr. Smith advises clients on disclosure and procedural requirements of the federal securities laws, including the Sarbanes-Oxley Act of 2002 and the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010. He also handles both local and international corporate reorganizations, corporate governance issues and financial restructurings.

Mr. Smith has worked on various pro bono matters, including work with international development organizations and local non-profit microfinance organizations.

He was previously a corporate associate in the New York office of an international law firm. During law school, Mr. Smith was a member of a three person team that won the 2007 Irving R. Kaufman National Securities Moot Court competition held at Fordham University.

Mr. Smith has a B.A. from San Francisco State University, and a J.D. from The Catholic University of America, Columbus School of Law.
