Eric Wall,

a partner in the San Francisco office, is a member of the Tax Group. His practice encompasses a wide variety of federal and state tax issues, including domestic and cross-border mergers and acquisitions, executive compensation matters, development and investment in renewable energy projects, transactions involving pass-through entities, and complex tax controversies.

Representative transactions include:

advising numerous privately held technology companies with respect to the federal and state tax aspects of selling their businesses;
assisting a large publicly held technology company on equity-based compensation, income deferral, and golden parachutes in more than 20 acquisitions of privately and publicly held domestic and foreign companies;
structuring of solar, wind and other renewable energy projects and obtaining tax incentives;
advising a large publicly held retailer with respect to the IRS’s examination of a variety of income tax accounting issues; and
assisting limited liability companies and their owners with various federal and state tax issues.
