Heather Bloom

Representative Matters

Counsel for W.R. Grace in connection with United States v. W.R. Grace, a criminal matter in the U.S. District Court in Missoula, Montana arising out of Grace's closed vermiculite mine in Libby, Montana. Charges included conspiracy to defraud the United States, "knowing endangerment" under the Clean Air Act, and obstruction of justice. Grace and its employees were acquitted at the conclusion of a three-month trial.

Counsel for W.R. Grace and its debtor subsidiaries in connection with its Chapter 11 reorganization proceedings.

Counsel for Visteon Corporation, a Fortune 500 global supplier of automotive systems, modules, and components to nearly every major vehicle manufacturer in the world, in its Chapter 11 reorganization.

Counsel for UBS in Georgia and California state court actions challenging naked short selling practices by prime brokers.

Counsel for SRA International, Inc. and its board of directors in shareholder litigation. Secured full summary judgment on behalf of SRA and its board of directors. Successfully opposed plaintiffs' motion for a preliminary injunction to prevent SRA's shareholders from voting on a $1.8 billion merger with Providence Equity Partners.

Counsel for private equity firms, public companies, and nonprofit organizations in formal investigations and informal inquiries conducted by the SEC, FINRA, Consumer Financial Protection Bureau (“CFPB”), and State Attorney General’s Offices.
