James Alex Saling

James A. Saling is a partner in the law firm of McDermott Will & Emery LLP and is based in the Firm’s Miami office. James concentrates his practice on health care mergers and acquisitions and regulatory matters. James has counseled clients on a wide range of matters, including structuring financial arrangements and transactions to comply with the Anti-Kickback Statute and the Stark Law; Medicare certification and reimbursement; state licensure issues affecting health care providers; corporate practice of medicine and dentistry; joint ventures between health care providers; tax exemption; development of integrated delivery systems; and structuring incentive compensation and risk sharing arrangements.

He has devoted much of his practice to hospital-physician affiliations and joint ventures, including those with ambulatory surgery centers, imaging centers, IDTFs, cancer centers, cardiac catheterization labs, block lease arrangements, clinical co-management arrangements, "under arrangement" relationships and physician practice acquisitions and integration. This experience includes the development of hospital outpatient departments and free-standing facilities, the acquisition of existing facilities, counseling clients in developing new service lines, strategic planning and governance issues, and restructuring facility operations for compliance reasons.

James has assisted hospital system clients (for profit and tax exempt) with strategic expansion and restructuring, including syndications, acquisitions and mergers. As a response to health care reform and continued market consolidation, James has assisted clients in a number of innovative affiliation transactions, including the representation of insurance companies in physician practice acquisitions.

He has also advised private equity clients in their acquisitions and worked closely with their due diligence teams to quickly identify health care regulatory issues, especially with regard to private equity investments in physician and dental practice management companies.

James was recently appointed to the American Health Lawyer’s Association Young Professional’s Council.

He is a member of the American Health Lawyers Association and the American Bar Association. He is admitted to practice in the District of Columbia and Florida.
